SME Referral Terms and Conditions
The following terms and conditions govern your participation in the Referral Program (“RP”) which is run by SmartFunding Pte Ltd (“SmartFunding”).
To be eligible for a reward, you, as participants must agree to be bound by the Terms and Conditions described below.
Definitions
Existing User: someone who has an approved investor account opened with SmartFunding.
Referred Account: a new SmartFunding borrower account created by a Referred Borrower through an Existing User’s unique referral code.
Referred Borrower: a borrower who has been referred to SmartFunding by an Existing User to seek financing from SmartFunding. A person becomes a Referred Borrower by registering with SmartFunding as a borrower and inputting the Existing User’s unique referral code. Only the person who creates the Referred Account is considered the Referred Borrower, and there can only be one Referred Borrower for each Referred Account created.
Eligible Referral: A Referred Account qualifies as an Eligible Referral only if ALL of the following conditions are met:
The Referred Borrower has to register with SmartFunding and input the Existing User’s unique referral code during registration.
The Referred Borrower has not started any application process on SmartFunding’s platform, and does not already have an existing SmartFunding account.
The Referred Borrower was not referred to SmartFunding at an earlier date by anyone. If there are multiple referrals of the same Referred Borrower, then only the referral partner who submitted such Referred Borrower’s details first will be eligible.
Earning the Reward
The Reward will only be given while the RP remains active. Rewards, as defined in each campaign, where applicable, will be credited to the respective Existing User’s investor accounts for each Eligible Referral only when all of the following conditions are met:
The Referred Borrower inputs the Existing User’s unique referral code during the registration of the Referred Account.
The Referred Borrower has not started any application process with SmartFunding.
The Referred Borrower has to receive funding from SmartFunding within 1 year from the referral date.
Obligations of the Existing Users:
Prior to making any referral, it is the obligation of the Existing User to obtain the prior approval of the Referred Borrower. The Existing User shall indemnify SmartFunding against all losses, expenses and liabilities which may arise from or in connection with its failure to comply with the mandatory obtaining of prior approval of the Referred Borrower.
The Existing User shall not actively market SmartFunding’s services. For the purposes of this section, here are some examples of what constitutes actively market, please note that this list is not exhaustive:
the Existing User advertises via marketing means such as direct mailing, printing and giving out of flyers, unsolicited emails, SMS, cold calls, advertisements in local newspapers, broadcasting or other ‘push’ technology over the internet;
there is an attempt by the Existing User to induce a Referred Borrower through the various channels to use SmartFunding’s services, that is, any decision to use SmartFunding’s services should be as a result of the Referred Borrower’s conscious choice and not due to the influence by the Existing User’s message;
the Existing User attempts to refer a Referred Borrower that he or she does not know.
The Existing User shall not arrange for the Referred Borrower to meet with SmartFunding, provide any assistance with the registration process or assist with transmitting information between the Referred Borrower and SmartFunding.
The Existing User shall only provide the Referred Borrower with factual information about SmartFunding such as the services it provides and SmartFunding’s website.
The Existing User shall not provide recommendations or investment advice.
General
The Existing User and Referred Borrower agree to comply with all applicable commercial and public anti-bribery laws;
The Existing User and Referred Borrower agree to not engage in any activity that may be considered fraudulent or invasive or that may be considered spamming;
The Existing User and Referred Borrower are responsible for all applicable taxes and fees resulting from any Rewards received. By participating in the RP, you release SmartFunding and their agents from all liability, including, without limitation, with respect to the Reward.
The RP is not valid in conjunction with any other investor sign-up promotion which is run by or in partnership with SmartFunding.
Severability
If any provision in these terms are held to be invalid, void, or unenforceable, such provision (or the part of it that is making it invalid, void or unenforceable) will be struck and not affect the validity of and enforceability of the remaining provisions.
Termination and Changes
SmartFunding may suspend or terminate the RP or an Existing User’s ability to participate in the RP at any time for any reason;
We reserve the right to suspend accounts or remove the Rewards if we notice any activity that we believe is abusive, fraudulent, or in violation of SmartFunding’s Terms and Conditions or Privacy Policy. We reserve the right to review and investigate all referral activities and to suspend accounts or modify referrals in our sole discretion as deemed fair and appropriate.
Updates to the Terms
We can update these terms, including modifying the Rewards available and value of the Rewards, at any time without prior notice. If we modify these terms, we will post the modification on the SmartFunding’s website, which is effective upon posting. Continued participation in the RP after any modification shall constitute consent to such modification.
